BeEasy Consulting – Terms of Use

These Terms of Use (the “Terms”) form a binding agreement between BeEasy Consulting S.r.l.s. (“BeEasy”, “we”, “our”, or “us”) and any individual or entity that accesses or uses the website www.beeasyconsulting.com or related sub-domains (the “Site”) and/or purchases, downloads, or otherwise uses the services and materials we provide (the “User”, “you”, or “your”).
By using the Site or any of our services, you confirm that you have read, understood, and agreed to these Terms, along with our Privacy Policy and Cookie Policy. If you do not agree, you must discontinue use of the Site and our services immediately.

1. Definitions
•Services: Professional, consulting, training, marketplace, and ancillary services described on the Site, including Global Research Alliance, Integrated Feasibility, Study Start-Up, Strategic Consulting, Education & Training (including the SophIQ Marketplace), and partnership, funding, and distribution support.
•Content: All materials (text, graphics, documents, videos, images, software, etc.) made available on or through the Site.
•Client: A User who enters into a separate written agreement or Statement of Work (“SOW”) with BeEasy for paid services.

2. Eligibility & Use
The Site is intended for professionals in the life sciences sector who are 18 years or older.
By using the Site, you confirm that:
•The information you provide is accurate and complete.
•You are authorized to bind the company or organization you represent.
•Your use complies with all applicable laws and regulations.

3. Relationship of the Parties
Unless a separate SOW or agreement is signed, use of the Site is informational only and does not create a client–consultant, partnership, joint venture, or employment relationship. Any proposals or advice on the Site are non-binding until confirmed in writing.

4. Accounts, Purchases & Marketplace Items
Some areas (e.g., SophIQ Marketplace or checkout) require account registration or payment.
You agree to:
•Keep login details secure and notify us of unauthorized use.
•Provide valid payment information.
•Pay all fees, taxes, and charges displayed.
Digital products are deemed delivered when a download link or access confirmation is provided. Digital items are non-refundable once accessed, except where required by law.

5. Permitted & Prohibited Uses
You may use the Site solely to evaluate or purchase BeEasy services and for internal business purposes. You must not:
•Copy, distribute, or create derivative works without prior written consent.
•Reverse-engineer or extract source code.
•Upload malicious code, personal health data, or unlawful content.
•Misrepresent your identity or affiliation.
•Use the Site for unsolicited marketing or data mining.
BeEasy reserves the right to suspend or terminate access in case of breach.

All trademarks, logos, and content are owned by BeEasy or its licensors and protected by intellectual property laws.

Unauthorized use of BeEasy® brand elements is strictly prohibited.

Non-public information shared during discussions with BeEasy that is marked or understood as “confidential” must be kept secure and used only for evaluating a potential engagement, unless otherwise agreed in writing.

To the fullest extent permitted by law, BeEasy shall not be liable for indirect, incidental, or consequential damages, including lost profits, data, or goodwill. Our total liability will not exceed €500 unless otherwise agreed in a signed SOW.

13. Force Majeure
Neither party is liable for delays or failures due to events beyond their reasonable control, such as natural disasters, strikes, or internet outages.
